Acceptance of the terms

By accessing or using usaops.us and its related pages, calculator, forms, content, and services (collectively, the "Site"), you agree to be bound by these Terms of Use and our Privacy Policy.

If you do not agree to these Terms of Use, do not use the Site.

You may use the Site only if you are legally able to enter into a binding agreement and are using the Site for lawful purposes.

Effective date and changes to the terms

These Terms of Use are effective as of the date listed above.

We may update these Terms of Use from time to time. When we do, we will post the revised version on this page and update the "Last Updated" date. Your continued use of the Site after updated Terms are posted means you accept the revised Terms.

Who we are, and the referral-partner boundary

USA OPS is a brand operated by IHT Services.

USA OPS is an independent referral partner. Its role is to run the math, present estimate-based outputs, and connect qualified business owners to a separate, licensed provider when the user requests next steps.

USA OPS is not the provider, carrier, underwriter, enroller, or licensed agent. Coverage, eligibility review, underwriting where applicable, enrollment decisions, administration, and ongoing plan-related obligations belong to the separate licensed provider and related third parties, not USA OPS.

No professional advice; no advisory relationship

The Site, calculator, report materials, and all related content are provided for general informational purposes only.

Nothing on the Site is tax advice, legal advice, coverage advice, benefits advice, financial advice, or professional advisory services of any kind.

Use of the Site does not create an advisor, agency, fiduciary, broker-client, accountant-client, attorney-client, or other professional relationship between you and IHT Services or USA OPS.

You are responsible for confirming any tax, legal, benefits, payroll, or business decision with your own CPA, attorney, or other qualified advisor.

Additional disclosures may appear at /disclosures, and those disclosures are incorporated into these Terms by reference where applicable.

The estimate disclaimer (calculator output)

Calculator outputs, example savings figures, representative plan illustrations, and similar materials are estimates only.

They are based on user inputs, tax-table assumptions, representative rates, modeling logic, and other assumptions believed to be relevant at the time of calculation.

They are not a quote, contract, promise, guarantee, eligibility determination, or binding offer of coverage.

Actual rates, terms, eligibility, enrollment outcomes, and coverage conditions are determined by the separate licensed provider and related parties at the time of enrollment or implementation.

Actual tax outcomes depend on your complete facts, entity structure, compensation setup, payroll handling, state rules, and other variables outside the Site.

Eligibility and no guarantee of placement

Meeting, appearing to meet, or clearing any calculator condition does not guarantee acceptance, eligibility, coverage, placement, enrollment, savings, tax treatment, or any specific outcome.

Any next-step opportunity remains subject to review, requirements, documentation, provider standards, applicable law, and other factors outside the control of USA OPS.

The separate licensed provider decides whether to accept, place, enroll, or administer any user or business under its own terms and legal obligations.

Acceptable use / prohibited conduct

You agree not to:

• use the Site for any unlawful, fraudulent, deceptive, or unauthorized purpose,
• interfere with or disrupt the operation or security of the Site,
• attempt to gain unauthorized access to any part of the Site or related systems,
• scrape, harvest, copy, or systematically extract Site content or calculator outputs,
• reverse engineer, decompile, test around, or attempt to derive the underlying logic, code, datasets, or methods of the calculator except as expressly allowed by law,
• upload malicious code, spam, bots, or harmful materials,
• submit false, misleading, or abusive information,
• or use the Site in a way that could damage IHT Services, USA OPS, users, providers, or third parties.

Accounts and submitted information

The Site may allow you to submit calculator inputs, contact information, report requests, or similar information.

You are responsible for making sure the information you provide is accurate, current, and complete.

If you submit inaccurate, incomplete, or misleading information, the resulting estimates, communications, or follow-up may be inaccurate or unavailable.

Our handling of submitted information is described in the Privacy Policy.

Intellectual property

The Site and its contents, including the calculator, text, design, layout, branding, marks, graphics, software, logic, compilations, and report materials, are owned by or licensed to IHT Services and are protected by applicable intellectual property and unfair-competition laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own internal, personal, or business evaluation purposes.

You may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, publicly perform, sell, license, or exploit any part of the Site or its outputs except with our prior written permission or as otherwise allowed by law.

Third-party content, links, and embeds

The Site may contain or rely on third-party content, links, embeds, videos, documents, hosted materials, or outside tools.

These may include an embedded calculator application, third-party video segments, provider-facing documents, and links to external sites or resources.

We do not control all third-party content or services and are not responsible for their availability, accuracy, security, legality, policies, or performance.

A link, embed, or inclusion does not mean we endorse a third party or that the third party endorses us.

Your use of third-party services may be governed by that third party's own terms and privacy practices.

Disclaimers of warranties

To the fullest extent permitted by law, the Site is provided on an "as is" and "as available" basis.

IHT Services disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or results.

We do not warrant that the Site will be uninterrupted, error-free, secure, current, complete, or suitable for your needs, or that defects will be corrected.

Limitation of liability

To the fullest extent permitted by law, IHT Services, USA OPS, and their owners, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, savings, business opportunity, goodwill, data, or use, arising out of or related to the Site or these Terms.

To the fullest extent permitted by law, the total liability of IHT Services and USA OPS for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100) or the amount you paid directly to IHT Services for the specific Site-related service giving rise to the claim, whichever is greater.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you to the extent prohibited by law.

Indemnification

You agree to defend, indemnify, and hold harmless IHT Services, USA OPS, and their owners, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising out of or related to:

• your use of the Site,
• your violation of these Terms,
• your violation of applicable law,
• your infringement or misuse of another person's rights,
• or any false, misleading, or unauthorized information you submit through the Site.

Dispute resolution, governing law, and venue

These Terms and any dispute arising out of or related to the Site or these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.

Any legal action or proceeding arising out of or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

Severability, assignment, entire agreement

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, asset sale, or similar transaction.

These Terms, together with the Privacy Policy and any incorporated disclosures or notices posted on the Site, constitute the entire agreement between you and IHT Services regarding the Site and supersede prior or contemporaneous understandings relating to the Site.

Termination

We reserve the right, in our sole discretion and to the extent permitted by law, to suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, misused the Site, created risk for us or others, or acted unlawfully.

Termination or suspension does not limit any other rights or remedies available to us.
